May 2025 SAAR

The May 2025 SAAR came in at 15.6 million units, down 9.3% from the previous month and representing a 1.1% decline from May 2024. Since the implementation of the Trump tariffs in early April, existing consumer demand and inventories have temporarily mitigated the impact on the auto industry. However, the resulting supply chain pressures and threat of higher vehicle prices have reduced sales momentum, contributing to a noticeable decline in the SAAR this month. Over the next several months, the automotive industry may continue to experience slower sales and tighter margins as it navigates tariff uncertainty and potentially recalibrates its global supply chains.

Don’t Punt on Succession Planning, Even if You Plan to Sell Externally

A well-structured succession plan not only enhances the firm’s operational stability and scalability but also increases its attractiveness to potential buyers. Buyers are not merely acquiring existing assets; they are investing in the future growth and continuity of the business. By prioritizing succession planning, RIA owners can better position themselves for a successful exit, ensuring they maximize value and minimize disruption, ultimately leading to a smoother transition for clients and team members alike.

For the Love of the Game?

What happens when family dynamics collide with billion-dollar stakes? The unfolding legal battle over control of the San Diego Padres serves as a reminder of the importance of clear succession planning. Whether your family business is a sports franchise or something closer to home, having a plan in place can mean the difference between harmony and heartbreak. Here’s what you need to know to safeguard your family business.

RIA Market Update: Q4 2024

RIAs continued to outperform the S&P in Q4 2024, with alternative asset managers boasting an impressive 60% price gain year-over-year. In 2024, traditional investment managers saw the strongest AUM growth, while alternative managers proved better at converting this growth to revenue. We explore further in our Q4 2024 Market Update.

Shining Some Light on Four Overshadowed Oil and Gas Plays

This week, the Mercer Capital Oil and Gas team highlights four popular, but less talked about oil and gas plays: the Uinta Basin, Bakken Shale, DJ Basin, and SCOOP/STACK. From the Uinta’s unique transportation challenges to the Bakken’s enduring output, the DJ’s infrastructure, and the SCOOP/STACK’s operational complexities, we explore their economic profiles and recent M&A activity.

August 2024 SAAR

The August 2024 SAAR recorded 15.1 million units, marking a 4.5% decline from the previous month. This figure is even below June’s SAAR, which was adversely affected by the CDK cybersecurity attack. It appears that consumers may now be feeling the effects of a softening labor market. Job openings have decreased, and the unemployment rate rose to its highest level since October 2021. These economic indicators point to a moderating labor market, which could also be impacting auto sales. Given these conditions, it seems highly likely that the Federal Reserve will cut rates at their next meeting.

Funding Your RIA’s Buy-Sell with Life Insurance Just Got Much Harder

As long as I can remember, RIAs and other closely-held businesses have used corporate owned life insurance to fund redemption provisions in buy-sell agreements. That practice is now in doubt, as the U.S. Supreme Court recently ruled that entity-purchased life insurance is additive to value for fair market value purposes. Has SCOTUS rendered what was long-standing conventional wisdom useless, or is the ruling subject to interpretation? Time will tell. For now, readers of this blog post will want to study the ruling and its implications for their own buy-sell agreements.

The Green Jacket Guide to Family Business Surveys

It is that time of year. The azaleas are blooming at Augusta National Golf Club and nearly one hundred golfers are gearing up for their shot at a green jacket in the 88th Masters Tournament.

What the Masters has developed in terms of interest and legacy lies in the unique traditions as well as the initiatives taken on by the Masters Tournament Foundation. The Masters Tournament Foundation’s primary purpose is to support, develop, and globally expand the game of golf through clear messaging, marketing, and communications across generations of golfers. Their commitment to creating a more accessible and welcoming golf community is critical to the longevity of the sport itself.

There is no tournament in all of sports more desirable to attend than the Masters. From the iconic pimento cheese sandwich and Azalea cocktail to the 9-hole Wednesday Par-3 tournament, it is truly one-of-a-kind. Similarly, family businesses are unique with traditions of their own that drive shareholder engagement. A shareholder base that is involved and passionate is a critical factor in building a sustainable and prosperous family business. But as family business directors know…

Eagle Ford M&A

The Eagle Ford shale has seen a significant decline in M&A activity over the past year, with only two deals closing compared to 13 in the prior year. However, recent purchases by Silverbow Resources and Crescent Energy signal a potential uptick in activity in the area. Meanwhile, Chesapeake Energy has fully divested from the Eagle Ford, focusing on natural gas-rich formations in the Marcellus and Haynesville shales. Despite the slowdown, Enverus Intelligence Research predicts an increase in M&A activity in the Eagle Ford in 2024.

‘Twas the Blog before Christmas….

It has become a tradition for the RIA team at Mercer Capital to end the blog year with a “unique” annual summary of industry events, riffing off Clement Clark Moore’s classic “A Visit from St. Nicholas.”  We hope all of you in the investment management community are enjoying the holiday season and looking forward to the many opportunities of the new year.  We look forward to hearing from you in 2024.  For now, please enjoy the finest only holiday poem written about money management.

RIA M&A Update

Although inflation has begun to subside and the stock market has rallied after a turbulent start to 2023, elevated interest rates and macroeconomic uncertainty have contributed to a slight decline in deal volume so far in 2023. Despite the slight decline in deal volume, total transacted AUM increased. In this week’s post we discuss some of the contributing factors of this, and what it means for your RIA.

How to Communicate Financial Results to Family Shareholders

Everyone agrees that communication promotes positive shareholder engagement, but what does it look like to communicate financial results effectively? In this week’s blog we introduce a whitepaper that offers practical suggestions for presenting key financial data in ways that family shareholders find useful.

Value Focus | Exploration & Production

In this quarter’s newsletter we focus on the Permian. Production growth over the past year continued to run well, in the Permian, ahead of growth in the Eagle Ford, Appalachian, and Bakken, as the Permian basin remains one of the most economic regions for U.S. energy production. With the decline in commodity prices over the past year, rig counts fell, with the most significant decline occurring in May. With E&P firms expecting continued cost increases through the remainder of 2023, the Permian’s existing cost advantage will contribute to its continued dominance over the major U.S. basins.

Toyota’s Steady State Battery

In early July, Financial Times reported Toyota’s solid-state battery breakthrough. According to Keiji Kaita, president of Toyota’s research and development center for carbon neutrality, the goal is to cut the size, weight, and cost of both liquid and solid-state batteries in half. In this post, we get into the details of this report, what auto dealers should know about solid-state batteries, and provide some context for realistic expectations.

Compensation Structures for RIAs

Part I of this series focused on variable or bonus compensation, this week we cover the equity component. If the other forms of compensation are meant to attract (salary) and retain (bonus) qualified talent, RIA equity is intended to align shareholder and employee interests while rewarding long-term contributions to firm growth and value. This structure inherently blends returns to labor (employee comp) with returns on investment (shareholder distributions) by its very design. It is typically the most complicated and misunderstood component of RIA compensation but can be highly effective when implemented correctly.

Managing Your Complete Family Business Balance Sheet

Your family business may likely be one of your largest assets, but not the only asset. Thinking holistically about your family’s complete balance sheet, not just the operating of the business, is a good mindset for fostering longevity, family harmony, and shareholder engagement.

In this post, we discuss three key financial areas that family businesses generally focus on. Having an accurate picture of the complete family balance sheet will help inform the ultimate decisions made at the family business level that optimize shareholder returns and maximize total family wealth.

Value Focus | Exploration & Production

In this quarter’s newsletter, we focus on the Eagle Ford. Strong rig-count growth spurred an Eagle Ford production increase that was second only to the Permian. However, production improvement was offset by commodity price easing in the latter half of 2022 and early 2023, resulting in Eagle Ford comp group stock price declines over the last year. Despite those dynamics, interest in the Eagle Ford remains high.

March 2023 SAAR

The March SAAR was 14.8 million units, down 1.2% from last month but up 9.3% compared to March 2022. Year-over-year improvements in the SAAR continue to persist as inventory is more available compared to this time last year. In fact, this month marks the eighth month in a row of year-over-year improvements in the SAAR and signals consistency in auto production and auto demand trends.

Corporate Finance in 30 Minutes

Q4 2022 Earnings Calls

In 2022, fewer than 14 million light vehicles were sold, which was the lowest level since 2011. Supply constraints hampered productions from automakers, which led to higher profits for auto dealers on each vehicle they were able to acquire and sell, both new and used. Vehicle production improved gradually throughout the year, which is anticipated to continue through 2023.

This week we review the Q4 2022 earnings calls from the executives of six publicly traded auto dealers and discuss some of the major themes.
