Mercer Capital is proud to again sponsor the 2022 Acquire or Be Acquired (AOBA) Conference presented by Bank Director magazine. The conference will be held January 30 through February 1, 2022 in Phoenix, Arizona.

The AOBA Conference is regarded as the financial industry’s premier M&A event for bank CEOs, boards of directors, and key leadership teams. The conference focuses on helping bank officers and directors better understand the economy, explore paths to creating greater shareholder value, and focus on how the competitive landscape continues to evolve.

Additionally, Jay Wilson will be copresenting a breakout session alongside Michael Bell, Co-Chair of the Financial Institutions Practice Group at Honigman, LLP. Below is a short description of their session, “A Primer on a Growing Breed of Bank Acquirers: Credit Unions & FinTech Companies”:

Credit unions and fintech companies have increasingly emerged as potential bank acquirers, and these transactions can create a win for both buyer and seller. The acquirer (CU or fintech company) can enhance growth, scale and efficiency in light of a challenging operating and margin environment while also producing a positive outcome for the selling bank. This session gives a primer on these transactions from both a legal and valuation perspective by examining case studies and providing greater insight on how CUs and fintech companies value bank acquisition targets and discussing key strategic, financial and legal considerations for these types of transactions.

Jay Wilson, senior vice president, is a senior member of Mercer Capital’s Depository Institutions practice. Jay also leads Mercer Capital’s Financial Technology industry team and publishes research related to the FinTech industry. Jay is involved in the valuation of financial institutions and FinTech companies for a variety of purposes including ESOPs, mergers and acquisitions, profit sharing plans, estate and gift tax planning, compliance matters, and corporate planning.

Jeff Davis is the Managing Director of Mercer Capital’s Financial Institutions Group. The Financial Institutions Group works with banks, thrifts, asset managers, insurance companies and agencies, BDCs, REITs, broker-dealers and financial technology companies.

Andy Gibbs, senior vice president, leads Mercer Capital’s Depository Institutions Group. Andy provides valuation and corporate advisory services to financial institutions for purposes including mergers and acquisitions, employee stock ownership plans, profit sharing plans, estate and gift tax planning and compliance matters, corporate planning and reorganizations.
